• Website development (WordPress, Shopify, custom-built)
• Visual communication and brand identity design
• Digital marketing strategy and execution

The specific scope, deliverables, timelines, and pricing for any project are governed by a separate written agreement or Statement of Work ("SOW") entered into between PRISM and the client. In the event of any conflict between these Terms and a SOW, the SOW shall prevail with respect to the specific project.

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.

3. Eligibility

You must be at least 18 years of age to use this Site or engage our services. By using the Site, you represent and warrant that you meet this age requirement. If you are under 18, you may only use the Site with the involvement and consent of a parent or legal guardian.

Use of this Site is void where prohibited by applicable law.

4. Account & Access

Certain features of the Site may require you to provide contact information or project details through forms. You agree to provide accurate, current, and complete information and to update such information as necessary.

5.2 Client Deliverables

Upon full payment of all agreed fees, PRISM assigns to the client all intellectual property rights in the final deliverables created specifically for that client under the applicable SOW, unless otherwise agreed in writing.

PRISM retains ownership of all preliminary concepts, drafts, tools, frameworks, and pre-existing intellectual property used in delivering services. We reserve the right to display completed work in our portfolio unless the client requests otherwise in writing.

5.3 Client Content

By providing content, materials, or data to PRISM for use in your project, you grant us a non-exclusive, royalty-free licence to use such materials solely for the purpose of delivering the agreed services. You represent and warrant that you own or have the right to use all such materials and that they do not infringe any third-party rights.

6. User Conduct

When using this Site, you agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable laws or regulations.
• Transmit any harmful, offensive, defamatory, or otherwise objectionable content.
• Attempt to gain unauthorised access to any part of the Site, our systems, or networks.
• Interfere with or disrupt the integrity or performance of the Site.

• Indirect, incidental, special, consequential, or punitive damages.

In no event shall our total aggregate liability to you exceed the greater of: (a) the total fees paid by you to PRISM in the three (3) months preceding the claim; or (b) EUR 100.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

10. Indemnification

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles.

For clients and users located in the European Union, mandatory consumer protection provisions under applicable EU law shall apply and cannot be excluded by these Terms.

In the event of any dispute arising from or relating to these Terms or our services, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may submit the dispute to binding arbitration or, if applicable, to the competent courts of the jurisdiction in which you reside.

13. Changes to These Terms

We may revise these Terms at any time by updating this page. Changes take effect immediately upon posting unless otherwise stated.
